"The Company", "Ourselves", "We", "Our" and "Us", refers to Never Grow Up Workshops Private Limited (‘NGU’). "Party", "Parties", or "Us", refers to both the Client and ourselves. Your use of the services and features of our website shall be governed by these Terms and Conditions (hereinafter “Terms of Use”) along with the Privacy Policy as modified and amended from time to time. Never Grow Up Workshops Private Limited (‘NGU’) reserves the right to change, alter and modify any Terms of Use at its sole discretion. By using this website, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions and undertake to be bound to all legal obligations arising from the usage of this website.

1.2.All terms refer to the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of India. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

 

1.3. NGU is not a mental health crisis* service, and the services provided do not include crisis intervention. The Counsellors provided by NGU for Counselling Services are not authorized to provide crisis intervention services and any Counsellor providing any form of crisis intervention shall be doing so on their own accord and NGU or any of their agents, sub-agents and employees shall not responsible for any cause of action or liability arising due to the same. 

 

1.4.You may not access or use the website for any purpose other than that for which the website is available. The website may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

 

1.5.As a user of the website, you agree not to:

1.5.1. Systematically retrieve data or other content from the website to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
1.5.2. Make any unauthorized use of the website, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
1.5.3. Make improper use of our support services or submit false reports of abuse or misconduct.

NGU reserves the right, at any time, without notice, and at its sole discretion, to terminate your license to use the website and to block and prevent your future access to the website. Further, you understand that neither NGU, nor any of its affiliates and subsidiaries shall be responsible to you for any damage or loss occurred to you due to the usage of this website by you.

Consequently, the materials on this website shall not be copied, reproduced, duplicated, republished, downloaded, posted, transmitted, distributed or modified in whole or in part or in any other form whatsoever. 5. TERMINATION
 

NGU may terminate the Terms of Use at any time and may do so without notice, and accordingly deny you access to the website. Upon any termination of the Terms of Use, you shall promptly destroy all materials downloaded or otherwise obtained from this website, as well as all copies of such materials, whether made under the Terms of Use or otherwise. Any such termination of the Terms of Use shall not affect any liability that may have arisen under the Terms of Use. 

 

6. INDEMNIFICATION

You agree to defend, indemnify and hold harmless NGU, its employees, directors, officers, agents and their successors and assigns, its holding, subsidiaries, affiliates, partners from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of your actions or inaction, which may result in any loss or liability to NGU or any third party including but not limited due to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of your obligations under the Terms of Use or arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, violation of rights of privacy or publicity. This clause shall survive the expiry or termination of the Terms of Use.

 

7. GOVERNING LAW AND DISPUTE RESOLUTION

Any disputes, differences or claims arising between the parties hereto in connection with the Terms of Use or the construction or interpretation of any of the clauses hereof or anything done or omitted to be done pursuant thereto, shall be governed by and construed in accordance with the Laws of India and the Courts of Mumbai shall have exclusive jurisdiction to adjudicate upon any such disputes.
